MINUTES OF THE ANNUAL MEETING CONTINUATION

JULY 17, 2010

CALLED TO ORDER AT 6:30PM

Call to Order –Tom Swire

Meeting was called to order at 6:30pm

Establishment of Membership Quorum – Monty Schultz

Ralph McKinnis of ‘Monty Schultz and Associates’ announced we have a quorum at this time.

VI. Election Results –Ralph McKinnis

President Swire stated the election results:

Bryan Smith – 537

Al Clark – 459

Phil Farren – 524

Bryan Smith joined the other board members at their table.

President’s Comments – Tom Swire

President Swire stated that he is grateful for the quorum with three open seats.

Election of Board Officers – Tom Swire

Board President Nomination

MOTION. A motion was made to nominate Tom Swire as President. M/S/C (Zoeller, McDonough), Ayes: 7 (Zoeller, McDonough, Clark, Farren, Cruce, Swire, Smith), Nays: 0. Motion carried.

Board Vice President Nomination

MOTION. A motion was made to nominate Bob McDonough as Vice President. M/S/C (Farren, Clark), Ayes: 7 (Farren, Clark, McDonough, Cruce, Swire, Smith, Zoeller), Nays: 0. Motion carried.

Board Secretary Nomination

MOTION. A motion was made to nominate Phil Farren as Secretary. M/S/C (Clark, McDonough), Ayes: 7 (Clark, McDonough, Cruce, Swire, Smith, Zoeller, Farren), Nays: 0. Motion carried.

Board Treasurer Nomination

MOTION. A motion was made to nominate Mark Zoeller as Treasurer. M/S/C (McDonough, Clark), Ayes: 7 (McDonough, Clark, Cruce, Swire, Smith, Zoeller, Farren), Nays: 0. Motion carried.

President Swire stated that they are disbanding the current YSPUC Board of Directors and will fill it with the seats of the new YLOA Board of Directors. They will elect officers at the next YSPUC Board meeting. President Swire asked all committees to continue to hold their meetings until they elect the new committee memberships. He asked the board members to email him with the committees they would like to serve on. Hopefully, by the August meeting, they will have committee assignments. Director Cruce thanked everyone for coming out to the 40^thBirthday Party. And thanks to the cooks, also. It was a wonderful event and would be nice to be able to do this every year. Secretary Farren thanked Director Cruce for her time and effort she put into the Birthday Party. She did an outstanding job. Vice President McDonough apologized for his lengthy Food and Beverage report at the last meeting. Director Clark stated that the Birthday Party was great. Good to see people get involved and the kids had a great time. Treasurer Zoeller thanked Dianne Cruce for putting together the birthday party. He joked by saying, if they have another party next year, Al Clark will be giving him and Bob McDonough grilling lessons. Director Smith stated that he’s happy to be on the board. President Swire stated he is happy to be working with this board. He feels it will be a great board and they should be able to get a lot accomplished this year.
