MINUTES OF THE
ANNUAL BOARD MEETING CONTINUANCE, JULY 20, 2009
CALLED TO ORDER AT 6:30 PM

V. Establishment Of Membership Quorum – Monty Schultz
Elections Auditor, Monty Schultz brought President Swire the election results. He stated the amount of votes to the audience:
· Phil Farren – 357
· Sandy Johnson – 236
· Mark Zoeller – 458
· Tom Swire – 579
· Bob McDonough – 476
· Stan Chladek – 162
· Bryan Smith – 270
· Dianne Cruce – 479
The Board will consist of: Tom Swire, Dianne Cruce, Bob McDonough, Mark Zoeller, Phil Farren, Elaine Loard and Al Clark. The new Directors came up and took their seats on the Board. Director Swire thanked all the people who ran but weren’t voted on the board and will look forward in another year for them to try again. Director Swire stated that the board previously declared that they would closely follow Robert’s Rules of Order.
VI. Election of Board Officers
Director McDonough nominated Tom Swire for President. Mark Zoeller seconded the nomination. Director Swire explained that there is no need for a second in the nominations. A voice vote took place. There were all ayes for Tom Swire. Tom Swire was nominated as President. Nominations were opened for Vice President. Al Clark nominated Elaine Loard. A voice vote took place. There were all ayes for Elaine Loard. Elaine Loard is Vice President. Nominations were opened for Secretary. Tom Swire nominated Bob McDonough. A voice vote took place. There were all ayes for Bob McDonough. Bob McDonough is Secretary. Nominations were opened for Treasurer. Bob McDonough nominated Mark Zoeller. A voice vote took place. There were all ayes for Mark Zoeller. Mark Zoeller is Treasurer.
President Swire asked that the new members give the board liaison their email addresses and would like to hear from all members regarding their committee preferences.
VII. Director Comments –
Phil Farren thanked the people of Yosemite Lakes Park for trusting in him and voting him as Director. Mark Zoeller thanked the members of the association for their votes. We now have two women on the board. He likes this trend. Dianne Cruce also thanked everyone for the votes and support. She stated that she would work hard as their board member. Tom Swire thanked the large number of attendees. He mentioned the quorum numbers. He stated that they will work on rewriting the DOR’s and Bylaws to change these numbers. There will be a 51% Aye vote needed to get these changes passed. Get ready for the signs and please vote or put your proxy in so that it can count towards the percentage.
MOTION: A motion was made to adjourn the meeting. M/S/C (Zoeller, Loard) Voice vote. Ayes: 7 (Zoeller, Loard, Swire, Cruce, Farren, McDonough, Clark). Nays: 0. Motion carried.
The meeting adjourned at 6:40 pm.
